To bring your customers and websites the benefits of the Clickshare
content-sharing network, you need to establish an account with Clickshare Service Corp.
Below are some of the resources which will help you to do so. Please consult with your
Clickshare representative, or a Clickshare reseller.

1. GETTING STARTED WITH CLICKSHARE
Before you do anything else, you should download and
review the document "Getting Started with Clickshare". It is available
here in either ADOBE ACROBAT
PDF or as a MICROSOFT
WORD document. "Getting Started . . . " provides basic information
about joining as a Clickshare Service Provider or Clickshare Content
Provider. However, it assumes you have an overview of Clickshare from
visiting the ABOUT US and
the SOLUTIONS sections
of the Clickshare website, and are aware generally of our FEE
STRUCTURE. |

2. CLICKSHARE PARTNER BASE PRICING
The initial investment required to join Clickshare is
affected by the variety of applications and configurations. In general, a
Clickshare Provider falls into one of three general categories: (a)
Content Provider without users, just selling content to the network's
users; (b) A
Service Provider who enrolls, bills and supports its own users; and, (c) A
Clickshare Service Provider which contracts for Clickshare to provide
enrollment, billing and support to its customers. Base pricing for
these three configurations is password-protected and linked from here in a
one-page ADOBE ACROBAT
PDF format or as a MICROSOFT
WORD file.

3. CLICKSHARE PARTNER ENROLLMENT FORM
The first step is to get us some information about you and your web
operation. You should complete our CLIENT QUESTIONNAIRE
webform. Completing this form online will give us the basic information we need to
to get your started.

4. BANK ACH AUTHORIZATION (OPTIONAL)
If you will be selling content (text, audio, video, multimedia, software) from your
Clickshare-enabled website, and you would like the convenience of electronic-check crediting
to your bank account of your share of purchases, you will want to completed, sign and submit
a U.S. bank Automated Clearing House network authorization.
Because the form will contain sensitive information, you should not return
it until requested by your Clickshare representative, and regular mail, courier, or fax
should be used. You may prefer to download and use either the Adobe Acrobat PDF version, or the
Microsoft Word version.

5. SSL WEB SERVER CERTIFICATE (OPTIONAL)
If you wish to accept credit cards as a form of payment for online
subscriptions or
for article or multimedia content, you must obtain a special form of security for
your website. Banks require that any website accepting credit-card numbers must use
"Secure Sockets Layer" (SSL) encryption. This requires that your site obtain an
"SSL certificate." Clickshare recommends and can obtain on your behalf a Thawte
digital certificate. Use Clickshare's explanation and data-form submission to start
the process. Download the PDF VERSION or the Microsoft Word version.
Because the form will contain sensitive information, you should not return
it until requested by your Clickshare representative, and regular mail, courier, or fax
should be used.

6. CREDIT-CARD PROCESSING (OPTIONAL)
If you plan to enroll your users to purchase
premium content, you will probably need a merchant credit-card
account. Clickshare can act as your agent to set up the account
and manage the transactions. Use this Adobe
Acrobat PDF-format document to gather the required information for submission.
If you want to fill out the firm and submit it electronically, you may find the Microsoft Word version more
convenient. Because the form will contain sensitive information, you should not return
it until requested by your Clickshare representative, and regular mail, courier, or fax
should be used.

7. CONSUMER TERMS OF SERVICE
Clickshare recommends that each Clickshare Service Provider implement a
Terms of Service statement for end users. This statement may best be
treated as an amendment or addition to an existing Terms of Service
statement which the provider may have at its present website. Clickshare
provides here a Model
Consumer Terms PDF document for downloading. The
phrase HOME.CLICKSHARE.COM may be replaced by your name as Clickshare
Service Provider. For a Microsoft Word version of the Model Consumer
Terms, please contact Clickshare at (413) 458-7000.

8. INFORMATION ABOUT CONSUMER PRIVACY
Clickshare's system architecture provides a unique answer to
concerns about privacy of consumer personal and financial
information. The architecture supports consumer choice to
initiate and locate storage of sensitive information at a
Clickshare Service Provider most preferred by the consumer.
There is no need for a central, permanent names database and
Clickshare Service Corp. has no way to link consumer web
activity to a named individual or identifiable account.
Clickshare maintains on its corporate website detailed
information about demographic privacy to which Clickshare Service
Providers and Content Providers may link. The appropriate URL to link is

9. MUTUAL CONFIDENTIALITY AGREEMENT
Clickshare treats all partner-specific information confidentially. If
necessary, Clickshare will execute a Mutual Non-Disclosure Agreement to
confirm this practice. A standard NDA form is available from here for this
